LITIGATION AGREEMENT BETWEEN NATÉV AND A THIRD

Effective Date: 2nd May, 2025 

  1. PERFORMANCE OBLIGATIONS 
    1. Product Quality Assurance: The Third-Party warrants that all listed products, including but not limited to clothing, accessories, and other items, shall conform to the quality standards established by Natév. Non-compliance with these standards, including substantiated complaints regarding inferior quality, may result in financial penalties, suspension, or termination of the contractual relationship.
    2. Stock Availability and Accuracy: The Third Party shall ensure that all listed items are readily available for fulfilment. Failure to fulfil an order due to inventory shortages may result in financial penalties amounting to 10% of the order value or restrictions on future listings.
    3. Payment and Refund Compliance: In instances of customer refunds or delayed transactions, Natév shall facilitate refunds by deducting the requisite amount from the Third Party’s future earnings. The Third Party shall adhere to Natév ’s refund and exchange policy and assumes full responsibility for processing reimbursements to customers.
    4. Customer Service Standards: The Third Party shall provide timely, professional, and efficient customer service. Repeated failure to address customer complaints within a reasonable timeframe may result in corrective actions, including but not limited to suspension or termination of this agreement.
    5. Confidentiality and Data Protection: The Third Party shall not disclose, share, or misuse confidential business information, including customer data, pricing models, and trade secrets. Unauthorized disclosure shall constitute a material breach, leading to immediate termination and potential legal action.
    6. Non-Compete Clause: The Third Party shall not engage in direct competition with Natév by offering identical or substantially similar products at lower prices on competing platforms during the term of this agreement.
    7. Commission Fees: The company shall charge the Third Party a commission of 10-20%, based on the product category (clothing, accessories, or other items), for each item listed and successfully sold through the company’s platform.
    8. Delivery Timeliness: A delay in sending deliveries to the client will result in a (5-35%) deduction from the agreed price. If the ordered item is not delivered, it will lead to a product suspension for a period of two weeks.
    9. Brand Reputation Management: If a particular brand receives five or more negative reviews, Natév reserves the right to discontinue its association with the Third Party.
    10. Intellectual Property Compliance: The Third Party affirms that all designs, styles, and creative assets posted on the Natév platform are original works and do not infringe upon any third-party intellectual property rights, including but not limited to copyrights, trademarks, and patents. Any violation shall result in legal liability, including financial penalties and immediate termination of this agreement.
    11. Prohibition of Anti-Competitive Practices: The Third Party shall not engage in conduct that undermines fair competition, including but not limited to disparaging other vendors through online reviews or deceptive marketing practices. 

 

2. PRICING CONTROL POLICY 

a. Fair Pricing Compliance 

  • The Third Party shall maintain a pricing that is competitive, reasonable, and aligned with prevailing market conditions. 
  • Any abrupt or unjustified price increases deemed exploitative shall be subject to regulatory intervention and corrective action. 

b. Price Transparency 

  • The Third Party shall ensure that all pricing information is accurate and inclusive of applicable taxes, fees, and ancillary costs. 
  • The implementation of misleading pricing strategies, such as hidden surcharges or artificial price inflation preceding discounts, is strictly prohibited. 

c. Discounts and Promotions 

  • Promotional pricing, including discounts and special offers, shall be legitimate, non-misleading, and transparently communicated to consumers. 
  • Natév reserves the right to audit and verify the authenticity of promotional pricing to prevent deceptive discounting practices. 

d. Competitive Pricing Standards 

  • The Third Party shall not engage in price undercutting by offering the same products at significantly lower prices on competing platforms while under this agreement. 
  • Any breach of this provision may result in penalties, including forced price adjustments or contract termination. 

e. Commission and Minimum Pricing 

  • The applicable commission fee of 10-20% per transaction shall be deducted from all sales processed through Natév ’s platform. 
  • Natév reserves the right to establish minimum pricing thresholds for select products to preserve brand value and prevent market devaluation. 

f. Enforcement and Penalties 

  • Violations of this pricing policy shall be subject to financial penalties, product delisting, or termination of contractual engagement. 
  • Natév retains the exclusive right to monitor, audit, and enforce compliance with its pricing policies 

 

3. PAYMENT AND REFUND COMPLIANCE
a. Payment Terms: The Third Party shall receive payment only after the customer confirms successful delivery and satisfaction with the product. Payments will be made via bank transfer on a bi-weekly basis, less any applicable commission or penalties. 

b. Justification for Post-Delivery Payment Structure:
                Customer Satisfaction First: Payment is released only when the item has been received in good condition, ensuring minimal issues with returns or incomplete orders. 
               Quality Assurance: This measure deters vendors from compromising on product quality or packaging after listing. 
               Cash Flow Management: Natév temporarily holds funds to process commissions, handle complaints, and manage operational flow.
 
c. Order Notification: The Third Party will receive real-time notifications via email and/or SMS upon order placement. Vendors are required to acknowledge receipt within 24 hours. 

        • Commission Fee: A 10 – 20% commission, based on the product category, shall be deducted from each sale processed through the Natév platform. 
        • Product Fulfilment: The Third Party must deliver ordered products to Natév’s designated logistics centre or as otherwise directed by Natév, within 24–48 hours of order confirmation. Natév shall handle the final delivery to the end customer. 
        • Packaging Responsibility: The Third Party shall provide basic protective packaging, while Natév retains the responsibility for final customer-ready packaging, including branding and presentation materials.

4. INTELLECTUAL PROPERTY RIGHTS:  

The Third Party acknowledges that all trademarks, brand logos, proprietary content, and intellectual property associated with Natév remain the exclusive property of Natév. Unauthorized reproduction, modification, or use of such intellectual property shall constitute grounds for legal action. 

      • MARKETING AND BRANDING COMPLIANCE: The Third Party agrees to adhere to Natév ’s established branding guidelines in all promotional materials, advertisements, and product descriptions. Any misrepresentation, misleading advertising, or unauthorized brand usage shall be deemed a material breach of this agreement. 
      • TERM AND TERMINATION: This agreement shall remain in full force and effect for a period of 6-12 months, unless earlier terminated due to contractual breaches, non performance, or mutual agreement. The Third Party may terminate this agreement by providing a written notice of no less than four (4) weeks. 
      • DISPUTE RESOLUTION: Any dispute, controversy, or claim arising out of or relating to this agreement shall first be resolved through good-faith negotiations between the parties. If unresolved, disputes shall be submitted to mediation or binding arbitration under the jurisdiction of Nigerian law, specifically under the provisions of the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria 2004, and under Section 36 of the Constitution of the Federal Republic of Nigeria. 
      • LIABILITY AND INDEMNIFICATION: The Third Party agrees to indemnify, defend, and hold Natév harmless from any claims, damages, losses, or liabilities, including legal costs, arising out of or in connection with the Third Party’s negligence, breach of contract, misconduct, or failure to perform its obligations under this agreement. 
      • COMPLIANCE WITH LAWS: The Third Party must comply with all applicable local, national, and international laws and regulations, including tax obligations, consumer protection laws, and e-commerce regulations. 
      • FORCE MAJEURE: Neither party shall be liable for any failure or delay in performance due to unforeseen events beyond their control, including natural disasters, government restrictions, or economic disruptions. 
      • REPORTING AND PERFORMANCE MONITORING: The Third Party shall provide periodic reports on sales, complaints, and service quality metrics to Natév. Persistent underperformance may result in penalties or contract review.
